Program Period

The Linksys to Cisco Trade-Up Program ("Program") begins on September 14, 2004 and ends on the thirtieth (30th) day after Cisco's Notice of Termination of the Program is posted at www.linksystocisco.com ("Program Period"), unless terminated sooner as provided herein.

Program Overview & Participation

To participate in the Program, Customer must:

1. Have purchased, on behalf of a business, an Eligible Linksys Product(s) (defined below) from a Linksys authorized distributor in the U.S. ("Initial Purchase") and owned the Eligible Linksys Product at least ninety (90) days; and
2. After September 14, 2004, but within three (3) years from the Initial Purchase of the Eligible Linksys Product, trade-up to a new Eligible Cisco Product(s) (defined below) purchased from a participating U.S. Cisco authorized partner or reseller, and upon completion of the rebate claim requirements and return of your Linksys Initial Purchase, subject to Cisco (or its authorized representatives') verification of your claim, you may be entitled to a rebate from Cisco. You must purchase one (1) Eligible Cisco Product for each Eligible Linksys Product returned.

Registration

Customers interested in participating in the Program may register at www.linksystocisco.com and may opt-in to receive Program information including updates to the Product Eligibility List and Rebate Amounts. While the benefits of Program does not obligate the Customer to purchase any Linksys or Cisco product, or to participate in the Program.

Eligibility

The Program is available only on Eligible Linksys Product(s) purchased through U.S. Linksys authorized distributors and Eligible Cisco Product(s) purchased through U.S. Cisco authorized partners or resellers. Open only to small and medium-size U.S. businesses (including qualifying government entities and not-for profit entities) which are located in the fifty (50) United States or the District of Columbia ("Customers"). Officers and employees and their immediate families (including spouse, parent and stepparents, children, siblings and members of their household) of Cisco and its affiliates, dealers and distributors, fulfillment houses, and advertising and promotional agencies are not eligible to participate in the Program.

Eligible Products

1. This Program does not apply to Eligible Cisco Products not purchased within the Program Period or purchased more than three (3) years from the Initial Purchase of the Eligible Linksys Product.
2. Eligible Linksys Products means Linksys products, as determined by Cisco, which are eligible for trade-up under this Program ("Eligible Linksys Products"), the list of which is available at www.linksystocisco.com. Eligible Cisco Products means new Cisco products, as determined by Cisco, which Customer can purchase as a replacement for the Eligible Linksys Products under this Program ("Eligible Cisco Products"), the list of which is available at www.linksystocisco.com (collectively the "Product Eligibility List").
3. Cisco reserves the right to modify the Product Eligibility List. Any modifications to the Product Eligibility List shall be communicated to Customers by posting on the Cisco Program website at www.linksystocisco.com. The applicable Product Eligibility List is that which was in effect at the time the applicable Eligible Linksys Product was purchased. Cisco will use commercially reasonable efforts to make all versions of the Product Eligibility List available on the Program website during the Program Period.
4. All Eligible Linksys Products and Eligible Cisco Products are subject to availability, while quantities last and Cisco reserves the right to change the Program based on product availability.
5. This Program is not valid on leased, returned, refurbished or used products, or products purchased through Internet auctions or any other unauthorized channels.

Rebate Amount

Cisco will assign a flat rate rebate amount for each Eligible Linksys Product ("Rebate Amount"). In some cases, an Eligible Linksys Product will have two (2) Rebate Amounts, one (1) applicable when upgrading to certain Eligible Cisco Products and the other applicable in all other cases. All Rebate Amounts will be included in the Product Eligibility List at www.linksystocisco.com.

Cisco reserves the right to modify rebate amounts at any time. The applicable rebate is that relative to the particular Eligible Linksys Product model on the Product Eligibility List in affect at the time the Eligible Linksys Product was purchased, or for Eligible Linksys Products purchased prior to the Program start date, the Product Eligibility List available on the Program start date. The Rebate Amount will NOT be based on the Product Eligibility List for another time period such as, but not limited to, the time period for the date of purchase of the Eligible Cisco Product or the date of return of the Eligible Linksys Product, regardless of whether or not the Rebate Amount increases or decreases. Any changes to the Rebate Amounts shall be communicated to Customers by posting the updated Product Eligibility List on the Cisco Program website at www.linksystocisco.com.

Rebate Claim Process

1. All rebate claims must be submitted and received within the Program Period and within three (3) years from the date of Customer's Initial Purchase of the Eligible Linksys Product. Rebate claims not submitted within this designated time-frame will be ineligible and disqualified.
2. To submit the rebate claim:
   1. See the Rebate Instruction Form available at www.linksystocisco.com.
   2. Complete the Rebate Instruction Form in its entirety;
   3. In a postage paid, shipping container, mail to the fulfillment house at the address indicated on the Rebate Instruction Form your:
      1. Rebate Instruction Form,
      2. The Eligible Linksys Product, AND
      3. A copy of the invoice for the Eligible Cisco Product ("Invoice") showing that the product was purchased within three (3) years of your Initial Purchase of Eligible Linksys Product. The Invoice must include one (1) Eligible Cisco Product for each Eligible Linksys Product returned.
3. Within thirty (30) days from receipt of the rebate claim, the fulfillment house will review the rebate claim for compliance and, if properly submitted and eligible, will approve the claim. Within four (4) to six (6) weeks of approval of the rebate claim, a rebate check will be mailed to the Customer company name specified on the Rebate Instruction Form and the Invoice. The rebate will not include any reimbursement for taxes or shipping.
4. In the event the Customer's Rebate Instruction Form is incomplete and/or needs clarification, Customer will have fifteen (15) days from the day the email is sent (sent emails are deemed delivered) to provide the necessary information to the fulfillment house. If Customer fails to respond or correct the deficiency to the satisfaction of the fulfillment house within fifteen (15) days after the date of email or phone message, the Customer's rebate claim will be disqualified.
5. NON-CONFORMING SUBMISSIONS WILL BE AUTOMATICALLY DISQUALIFIED. Non-conforming submissions are those that are not capable of correction via clarification or verification by the fulfillment house, and include, without limitation, claim submissions from ineligible participants, or do not contain a returned Linksys Product, do not pertain to Eligible Linksys Products or Eligible Cisco Products, the number of Eligible Linksys Products returned for a trade-up is inconsistent, or an Eligible Cisco Product was not purchased or the rebate claim was not received within the time frames specified herein.
6. If for any reason the claim is disqualified or is ineligible, within two to three weeks of such decision, the fulfillment house will return to the Customer any and all Linksys Products previously submitted with the claim. Rebate claim documentation will not be returned and becomes the property of Cisco.
7. The name of the purchaser on the Invoice must be the same as the Organization name on the Rebate Instruction Form. Any rebate claim mailed to Cisco Systems, Inc. or any address other than that on the Rebate Instruction Form will not be processed for the rebate.
8. Limit one rebate only for each Eligible Linksys Product returned when traded-up for the same quantity of Eligible Cisco Product. Customers may use one (1) Rebate Instruction Form, a minimum of one (1) Invoice and one (1) shipping container, for up to five (5) Eligible Linksys Products being returned. If returning more than five (5) Eligible Linksys Products, Customers must use an additional Rebate Instruction Form and shipping container.
9. At their discretion, Cisco and its designated representative reserve the right, without obligation, to request additional information and verify the accuracy and sufficiency of all information provided by Customer.
10. Any Eligible Cisco Product for which a rebate has been approved or issued may not be returned unless approved by a Cisco authorized partner or Cisco. In the event an Eligible Cisco Product for which a rebate has been approved or issued is returned within four (4) months, Customer may be required to reimburse the rebated amount to Cisco within thirty (30) days of receipt of the returned Cisco Product.
11. All Eligible Linksys Products received by Cisco and not returned to the Customer as provided herein will be destroyed and shall not be reused or resold.
12. The decisions of Cisco and its authorized representative are final and binding in all matters relating to any rebate claim and this Program.

General Terms

1. This Program may not be combined with any other promotion, discount, or trade-up program offered by Cisco.
2. Cisco reserves the right to modify or terminate the Program at any time in its sole discretion. Any such modification or termination notice will be posted at www.linksystocisco.com. After termination, and if reasonably commercially feasible, Cisco will use commercially reasonable efforts to honor all eligible and approved rebate requests prior to the date of termination.
3. Customers are solely responsible for compliance with their Company policies regarding participation in rebate programs and agree to assume all such risks relating thereto.
4. Customer must warrant that they hold legal title to their Initial Purchase (free of liens, security interests, or other encumbrances), and they have the legal right to transfer title to Cisco upon trade-up of the Product.
5. Without limiting any other right retained herein, Cisco reserves the right, in its sole discretion, to immediately cancel or immediately suspend the Program without prior notice should a force majeure event, virus, bugs, unauthorized human intervention, or other similar or dissimilar cause beyond the control of Cisco, in Cisco's sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Program.
6. Cisco and its fulfillment house are not responsible for late, lost, stolen, misdirected, illegible, incomplete or postage due claims/requests. Please be sure to keep a copy for your records of your entire claim and all documents submitted. Cisco is not responsible for any printing, human, fax, computer or other errors. Submission of false, inaccurate, intentionally incomplete, or misleading claims in connection with the Program, will disqualify the claim, and may subject Customer to civil liability or criminal prosecution.
7. All documentation submitted for this Program becomes the property of Cisco and will not be returned.
8. This rebate offer is not transferable.
9. All decisions by Cisco and its designated representatives are final.
10. If any provision of these Terms and Conditions, or the application of any provision to any participant or circumstance, is held invalid, the remainder of these Terms and Conditions, and the application of the provision other than to the extent it is held invalid, will not be invalidated or affected.
